Shadow Systems has a new owner: The guy who's been running the company.


Shadow Systems announced Tuesday that it has been acquired by Roe Strategic Capital LLC, a partnership between current CEO Trevor Roe and investor Richard Roe. The deal takes the Plano, Texas-based pistol maker out from under previous owner Catalyst Holdings. Terms were not disclosed.


What's Changing (And What Isn't)

The short answer: Not much, at least operationally. Shadow Systems will keep its existing leadership team, its Plano headquarters, and its current dealer programs. Product support, warranties, and customer service stay the same. This is a management-led ownership transition, not a corporate shakeup.


"Catalyst helped establish the foundation and scale the business," Trevor Roe said in the announcement. "With long-term ownership in place, we can invest with a multi-year horizon in new products, new categories and the customer experience."


Background

Shadow Systems was founded in 2016 by Catalyst Holdings, led by Managing Partner Kevyn DeMartino along with partners Forrest "Jake" Williams and Justin Mowrey. Trevor Roe joined shortly after and has led the company through its growth from a niche Glock-alternative maker into one of the ten largest producers of 9mm pistols in the United States by 2021, according to ATF AFMER-derived production data cited by the company.


That growth hasn't slowed. Shadow Systems pistols are now used by more than 350 law enforcement agencies, including the West Virginia State Police, who adopted the XR920 and CR920X as their duty platforms.


For Catalyst, the sale marks another successful exit. The Dallas-based investment group previously sold JLab Audio to Japanese conglomerate Noritsu Koki for a reported $370 million in 2021.


What Comes Next

With the new ownership structure, Shadow Systems says it plans to expand beyond handguns. The company recently unveiled the Axio, a $1,999 steel-chassis 9mm aimed at 2011-style competition, and has announced the U526 and E526 rifle platforms in 5.56 NATO. Optics and suppressors are also on the roadmap.


"From day one, the intent was to build something differentiated and then scale it in an aggressive manner," said Kevyn DeMartino of Catalyst Holdings. "We're very, very proud of what the Shadow Systems team has achieved."


Whether the management-led buyout translates to faster product development remains to be seen, but the move gives Trevor Roe and his team direct control over where the company goes from here. For a brand that's built its reputation on doing Glock-pattern pistols better than Glock, that freedom could matter quite a bit.
